Welcome to OrbitDoctor. These Terms of Use ("Terms") govern your access to and use of the OrbitDoctor website, platform, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

OrbitDoctor provides an online platform that connects patients with licensed healthcare providers for virtual care services in Alberta, Canada. OrbitDoctor itself does not provide medical advice, diagnosis, or treatment. Medical services are provided by independent licensed physicians and healthcare professionals.

Please read these Terms carefully before using the Services. If you do not agree to these Terms, you may not access or use the Services. We may update these Terms from time to time, and your continued use of the Services after changes are posted constitutes acceptance of the updated Terms.

In these Terms, "OrbitDoctor," "we," "us," and "our" refer to OrbitDoctor and its affiliates. "You" and "your" refer to the individual accessing or using the Services.

Jurisdiction and Eligibility

The Services are operated from Alberta, Canada and are intended for individuals located in Alberta who hold a valid Alberta Health Card, unless otherwise stated. By using the Services, you represent that you meet these eligibility requirements.

You must be at least 18 years of age to create an account and use the Services, or have the consent and involvement of a parent or legal guardian where permitted by applicable law. You are responsible for ensuring that your use of the Services complies with all applicable laws and regulations.

OrbitDoctor reserves the right to refuse service, terminate accounts, or limit access to the Services at its discretion, including where a user does not meet eligibility requirements or violates these Terms.

User Responsibilities

When using the Services, you agree to the following responsibilities:

  1. Provide accurate, complete, and current information when creating an account or requesting care.
  2. Use the Services only for lawful purposes and in accordance with these Terms.
  3. Maintain the confidentiality of your account credentials and notify us promptly of any unauthorized access.
  4. Follow the instructions and recommendations provided by your healthcare provider, and seek emergency care when appropriate.

Privacy

Your privacy is important to us. Our collection, use, and disclosure of personal information and health information is described in our Privacy Policy, which is incorporated into these Terms by reference.

By using the Services, you consent to the collection and use of your information as described in the Privacy Policy. Please review the Privacy Policy carefully to understand our practices.

Electronic Communications

By using the Services, you consent to receive communications from us electronically, including emails, text messages, notifications, and messages through the platform. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

Disclaimer

The Services and all content provided through the platform are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

OrbitDoctor does not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not guarantee the accuracy, completeness, or usefulness of any information provided through the Services.

The Services are not intended for emergency medical situations. If you are experiencing a medical emergency, call 911 or go to the nearest emergency department immediately.

To the fullest extent permitted by applicable law, OrbitDoctor disclaims all liability for any damages arising from your use of or reliance on the Services or any content provided therein.

Internet Software or Computer Viruses

Due to the nature of the internet, OrbitDoctor cannot guarantee that the Services will be free from software viruses or other harmful components. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output.

You use the Services at your own risk. OrbitDoctor shall not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses, or other technologically harmful material that may infect your computer equipment, programs, data, or other proprietary material due to your use of the Services.

We recommend keeping your devices, browsers, and security software up to date when accessing the Services.

Acceptable Use Policy

You agree not to use the Services in any way that violates applicable law, infringes the rights of others, or interferes with the operation of the platform. Prohibited conduct includes, without limitation, attempting to gain unauthorized access to the Services, systems, or data of OrbitDoctor or other users.

You may not use the Services to transmit any unlawful, harassing, defamatory, abusive, threatening, harmful, vulgar, obscene, or otherwise objectionable content. You may not impersonate any person or entity or misrepresent your affiliation with any person or entity.

You may not use automated means, including bots, scrapers, or crawlers, to access the Services without our prior written consent. You may not interfere with or disrupt the integrity or performance of the Services or the data contained therein.

OrbitDoctor reserves the right to investigate and take appropriate action against anyone who violates this Acceptable Use Policy, including removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

User Accounts

To access certain features of the Services, you may be required to create an account. You agree to provide accurate and complete registration information and to keep your account information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify OrbitDoctor immediately of any unauthorized use of your account.

OrbitDoctor reserves the right to suspend or terminate your account at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.

You may not create more than one account for yourself or create an account on behalf of another person unless you are authorized to do so. Accounts are personal and may not be transferred without our consent.

Upon termination of your account, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

Health Care & Health Information

OrbitDoctor facilitates virtual care services by connecting you with licensed healthcare providers. The healthcare provider, not OrbitDoctor, is responsible for the medical services provided to you, including assessments, diagnoses, treatment recommendations, prescriptions, referrals, and other clinical decisions.

Your relationship with your healthcare provider is a direct provider-patient relationship. OrbitDoctor is not a healthcare provider and does not practice medicine. Any medical advice, diagnosis, or treatment you receive is provided solely by your healthcare provider.

You acknowledge that virtual care has limitations and may not be appropriate for all medical conditions. Your healthcare provider will determine whether your concern is suitable for phone or video care and may recommend in-person evaluation when clinically appropriate.

Health information you provide through the Services will be handled in accordance with applicable privacy and health information laws, including Alberta's Health Information Act where applicable, and our Privacy Policy.

You are responsible for providing accurate health information to your healthcare provider and for following up on care recommendations, including seeking in-person care when advised.

Additional Terms: Alberta

These Terms are subject to the laws of the Province of Alberta and the federal laws of Canada applicable therein. If you access the Services from outside Alberta, you do so at your own initiative and are responsible for compliance with local laws.

Products or Services

OrbitDoctor may modify, suspend, or discontinue any aspect of the Services at any time, including the availability of any feature, database, or content. We may also impose limits on certain features or restrict access to parts or all of the Services without notice or liability.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall OrbitDoctor, its affiliates, directors, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, arising out of or related to your use of the Services.

To the maximum extent permitted by applicable law, OrbitDoctor's total liability for any claims arising out of or related to these Terms or the Services shall not exceed the amount you paid to OrbitDoctor, if any, in the twelve months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless OrbitDoctor and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any rights of another.

Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Termination

OrbitDoctor may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will cease immediately.

Waiver

No waiver by OrbitDoctor of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of OrbitDoctor to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

Applicable Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree that any legal action or proceeding arising out of or related to these Terms or the Services shall be brought exclusively in the courts located in Alberta, Canada, and you consent to the personal jurisdiction of such courts.

Intellectual Property Rights

The Services and all content, features, and functionality, including but not limited to text, graphics, logos, icons, images, audio clips, software, and the compilation thereof, are the exclusive property of OrbitDoctor or its licensors and are protected by Canadian and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Services without the prior written consent of OrbitDoctor, except as permitted by these Terms or applicable law.
